Introduction

Thank you for choosing Life Flow Manager, your solution for task management. Life Flow Manager, or LFM for short ("we," "us," or "our") provides a task management service ("Service") accessible through our mobile application and website. This Terms of Service agreement ("Agreement") governs your use of our Service.

By accessing or using the Service, you ("you," "your," or "User") agree to be bound by this Agreement and acknowledge our Privacy Policy. This Agreement outlines your rights and responsibilities when using LFM and our obligations to you.

Please read this Agreement carefully before accessing or using our Service. If you do not agree to these terms, you may not use LFM.

1. User Responsibilities

1.a. Account Responsibilities

Account Creation: You must provide accurate, current, and complete information during the registration process and keep your account information up-to-date.

Account Security: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. LFM cannot and will not be liable for any loss or damage arising from your failure to comply with the above.

Account Use: You are responsible for all activities that occur under your account, whether or not you know about them.

1.b. Content Responsibilities

Content Ownership: You retain ownership of any intellectual property rights that you hold in the content you submit to the Service.

Content Compliance: You are responsible for ensuring that your content (including delegations, comments, and task descriptions) complies with applicable laws, rules, and regulations, and does not infringe upon the rights of others.

Prohibited Use: You may not use the Service to store, share, or transmit content that is unlawful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

1.c. Use of the Service

Compliance with Laws: You agree to use the Service in compliance with all applicable local, state, national, and international laws and regulations.

Respectful Interaction: You agree to interact respectfully with other users of the Service. Bullying, harassment, or other abusive behavior will not be tolerated.

No Unauthorized Access: You agree not to access, tamper with, or use non-public areas of the Service, our computer systems, or the technical delivery systems of our providers.

No Interference: You agree not to disrupt or attempt to disrupt the integrity or performance of the Service, including the data contained therein.

1.d. Account Termination

LFM reserves the right to suspend or terminate your account and refuse any and all current or future use of the Service if we determine that you have violated this Agreement or for any other reason at our sole discretion.

1.e. Changes to Service

LFM reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

2. Payment Terms

This agreement establishes the payment terms between the service provider, Life Flow Manager, and the user. The user agrees to a recurring payment of $299 per month for access to and use of the Life Flow Manager services. This amount is due unless a different price has been explicitly agreed upon in writing between the user and Life Flow Manager.

2.a. Payment Method and Schedule

Payments are automatically charged every month on the date of the initial subscription. Users must provide a valid payment method and are responsible for keeping this information up to date to avoid service interruption.

2.b. Changes in Terms

Life Flow Manager reserves the right to modify the payment terms and fees upon prior notice. Any changes will be communicated to the user in advance through the user's registered email address or through notification within the service platform.

2.c. Cancellation Policy

Users can cancel their subscription at any time. Cancellation will take effect at the end of the current billing cycle, and no further charges will be made. However, no refunds are provided for any remaining days in the current cycle.

2.d. Late Payment

In the event of a late payment, Life Flow Manager may suspend access to the services until the outstanding payment is received. The service provider reserves the right to impose a late fee if deemed necessary.

2.e. Disputes

Any disputes regarding billing must be addressed within 30 days of the charge by contacting Life Flow Manager's customer service. Failure to dispute a charge within this timeframe will be deemed an acceptance of the charge.

By using Life Flow Manager's services, the user agrees to these payment terms and acknowledges their responsibility for the recurring payments as specified.

3. Intellectual Property Rights

3.a. Content Ownership

Users maintain ownership of the intellectual property rights of the content they submit to the Service. This includes tasks, comments, descriptions, and any other material users may create or upload while using Life Flow Manager.

3.b. Content Use and Compliance

Users are responsible for ensuring their content does not violate any laws, regulations, or infringe upon the rights of others. The content must be appropriate, non-infringing, and in compliance with applicable laws and regulations.

3.c. Prohibited Content

Users are prohibited from using the Service to store, share, or transmit any content that is unlawful, threatening, abusive, defamatory, invasive of privacy, or otherwise objectionable. This includes content that is racially, ethnically, or otherwise discriminatory.

3.d. LFM's Rights

Life Flow Manager reserves the right to remove any content that violates these terms or is deemed harmful to the Service or its users. Additionally, Life Flow Manager may use, modify, and adapt the content to the extent necessary to provide and improve the Service, subject to users' intellectual property rights.

3.e. License to Use

By submitting content to the Service, users grant Life Flow Manager a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, modify, and publicly display the content solely for the purpose of operating and improving the Service.

3.f. Third-Party Content

The Service may contain or link to content owned by third parties. Users must respect the intellectual property rights of others, including copyrighted and trademarked content, and are responsible for obtaining any necessary permissions or licenses for the use of such content.

3.g. Copyright Complaints

Life Flow Manager respects the intellectual property rights of others and expects its users to do the same. The Service provides a mechanism for copyright owners to report alleged infringements and for LFM to take appropriate action in response to such notices.

3.h. No Transfer of Ownership

Nothing in this Agreement transfers ownership rights of any intellectual property from Life Flow Manager to the user or from the user to Life Flow Manager.

4. Termination and Suspension

This section outlines the conditions under which a user's account may be terminated or suspended by Life Flow Manager. Termination or suspension can occur under various circumstances, including but not limited to:

Upon determination of a breach, Life Flow Manager reserves the right to immediately suspend or terminate the user's account, with or without notice. The user will be informed of the suspension or termination, including the reasons and any potential actions to rectify the situation, if applicable. Users may appeal a suspension or termination decision by contacting Life Flow Manager's support within a specified timeframe.

5. Warranties and Disclaimers

5.a. Warranties

Life Flow Manager provides the Service on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service. To the full extent permissible by applicable law, LFM disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. LFM does not warrant that the Service, its servers, or email sent from the Service are free of viruses or other harmful components.

5.b. Disclaimers

LFM expressly disclaims any duty to update or revise the materials on the Service, although we may modify the materials at any time without notice. Your use of the Service is at your sole risk, and you assume full responsibility for any costs associated with your use of the Service. LFM shall not be liable for any damages of any kind related to your use of the Service.

By using LFM, you acknowledge that you do so at your own risk. LFM is not responsible for any direct, indirect, incidental, punitive, or consequential damages that may result from the use of, or the inability to use, the Service, even if LFM has been advised of the possibility of such damages. The above limitations or exclusions may not apply to you to the extent that applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages.

5.c. Limitation of Liability

In no event shall LFM, or its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

6. Amendment Clauses

6.a. Updates and Revisions

Life Flow Manager (LFM) reserves the right to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms of Service constitutes acceptance of those changes.

6.b. Notification of Changes

LFM will notify users of significant changes to the Terms of Service through the email address provided by users upon registration or through a prominent notice on our website. This notification will occur at least 30 days before the changes are effective, providing users with adequate time to review the changes.

7. Governing Law and Dispute Resolution

7.a. Governing Law

The Terms of Service (ToS) shall be governed by and construed in accordance with the laws of the jurisdiction where Life Flow Manager (LFM) is established, without regard to its conflict of law provisions. This choice of law helps ensure consistency in the application of the law to the ToS.

7.b. Dispute Resolution

In the event of any dispute arising out of or related to these Terms of Service, the parties agree to seek resolution through amicable negotiations. If the dispute cannot be resolved through negotiation within a reasonable timeframe, the parties agree to submit the dispute to binding arbitration under the rules of an agreed-upon arbitration association in the jurisdiction of LFM's establishment. Arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, and the decision of the arbitrator shall be final and binding.

7.c. Court Action

Notwithstanding the above, for any matters where the right to pursue court action cannot be waived or for disputes that fall outside the scope of the arbitration agreement, both parties retain the right to seek remedies in court. Such court actions shall be filed in the courts of the jurisdiction where LFM is established, and both parties consent to the exclusive jurisdiction and venue in such courts.
